BY REGISTERING AND ACCEPTING THESE TERMS AND CONDITIONS (“T&C’s”), THE CUSTOMER AGREES TO BE LEGALLY BOUND BY THESE TERMS & CONDITIONS.

References to ‘We’ ‘Our ‘and ‘Us’ refer to Abhi.

References to ‘You’, ‘Employee’ and ‘Your’ refer to Customer.

References to ‘Employer’ refer to Company.

Reference to ‘Agreement’ refers to the legally binding document signed between the Employer and Abhi.

Reference to ‘Third Party’ refers to all Mobile Applications utilizing Abhi Services.

Reference to ‘EWA’ refers to earned wage access / unpaid accrued salary that will be availed by Employee through the App or through the Abhi Salary Card

Reference to ‘Abhi Salary’ refers to a service that enables access to earned wage/salary of an employee by subscribing to an Abhi Charge Card through SMS short code or/and smartphone-based app

Abhi is solely responsible for providing a Mobile Application to enable financial transactions to Employees subject to the Employers signing an agreement with Abhi and individuals onboarding (“Agreement”).

1. Abhi App

a. The Abhi App (‘App’) provides You with access to Your EWA.
b. The App is a bank agnostic, cloud-based Mobile Application that offers multiple solutions to access Your Salary.
c. The App functions in a rights and responsibility based structure where all the rights are solely assigned to the Customer who has the right to have early access to a portion(s) of its accrued salary (the “EWA”) by an Customer up till the date and time of initiating a transaction through the App.
d. Abhi has obtained relevant license/approvals of the Securities and Exchange Commission of Pakistan (the “SECP”) for the App and has submitted a certificate from Pakistan Telecommunication Authority’s (PTA) approved Cyber Security Audit Firm (CSAF).
e. Transactions must be in Pakistani rupee only.
f. You are not permitted to make transactions of cash.
g. App cannot provide retroactive access to unpaid earnings that arose before You established Your Abhi account.
h. All transaction made through the App are charged as per the commercials decided in the Agreement.
i. You will be required to submit a live selfie for photo verification as part of Abhi’s Know your Customer (KYC) process if applicable.

2. Abhi Salary Card

a. Abhi Charge Card for Salary may be issued by in prescribed digital form and will be sent to Your registered email address. We shall be entitled at its sole discretion to accept or reject such requests that do not fulfill the requirements of our policy.
b. You acknowledge and agree that only one Abhi Charge Card for Salary Service will be availed per CNIC, and other given details and limits shall be applicable as per our rules and policies.
c. Any person applying or availing Abhi Salary is deemed to have read, understood, and accepted these terms and conditions.
d. Each Abhi Salary’s customer shall possess a distinctive number, and which shall be quoted in all correspondence with us for the purpose of availing the services.

4. Onboarding Criteria

a. The Employer is validly existing and duly organized business under the laws of the Islamic Republic of Pakistan with necessary authority, qualifications, licenses, permits and registrations necessary to conduct its business.
b. The Employee must:
i. be currently employed;
ii. have a valid and up to date Nadra issued Id card, e-mail address; and
iii. mobile telephone number to be registered with Abhi App.
c. The Employee or the Employer is not on any of the following Lists:
i. US Office of Foreign Assets Control (OFAC) sanctions list;
ii. United Nations Security Council (UNSC)sanctions list; and
iii. Nadra cancelled CNIC.

5. Change

a. You will be informed of any change Abhi makes via SMS and email.
b. Abhi reserves the right to add, modify, revise, vary, amend, delete, withdraw or supplement, in whole or in part, any of the provisions outlined in these T&Cs.
c. You must notify us immediately if Your information changes.

6. Your Responsibilities

a. If You believe that the App have been accessed without Your knowledge or consent, or that password has been fraudulently used, You shall contact Abhi immediately to block account and future transactions.
b. You will take all reasonable precautions to ensure the security of access to the App and must not, under any circumstances, allow any third party or any person to access or use the App for any purpose.
c. You will ensure that the SIM of the mobile number provided by You for use of Abhi Charge Card for Salary Services, is registered in your name.
d. You will ensure to not leave your mobile phone unattended. Abhi shall not be responsible for any unauthorized transaction as a result of negligence on your part.
e. Abhi shall not be held responsible for any service issue(s) faced by You due to mobile network portability (MNP).
f. Any such payment in connection with or in respect of a transaction made on the App shall be verified and authenticated by You.
g. You shall be responsible to verify and authenticate the Payment and account details of the beneficiary accounts to authorize a transaction through the App.
h. You are advised to exercise caution and use industry-standard means to detect and disable viruses and other harmful materials.
i. You will not use the App in any way that will contravene any legal or regulatory provision.
j. You acknowledge that the App consists of complex software that is never wholly free from defects, errors, glitches, viruses, malware and bugs and undertakes not to hold Abhi responsible for among other things, backend errors, the operation and availability of the systems used for accessing the App. You further agree to repay, return and or reimburse Abhi any extra amount transferred as a result of a system error, human error or technical glitch. Abhi reserves the right to recover the amount in excess of Your rightful ownership from your account with notice.
k. Any penalties levied by any regulatory authority with regard to the use by Customer shall be purely to the Customer’s sole account.
l. In case of a dispute with the Employer, You shall resolve the Dispute.
m. You must notify us of any dispute between You and Your Employer.

7. You and Your Employer

a. You Agree to allow your Employer to make direct debit payments to Us of any outstanding amount payable to Us inclusive of any amount under the Contract Price from your salary and/or settlement amount.
b. You Consent to Your Employer Sharing employment data with Us and receiving data from Us.
c. Abhi only requests information from your Employer that is required to provide the Service, and such information is not shared outside of Abhi, other than with regulators.
d. Transaction alerts in real time for all Your transactions and will be visible to the Employer.
e. The App relies upon information from Your Employer about You.
f. In the scenario that Your Employer disagrees with you about the amount of unpaid earnings You earned or the amount that it owes You. We do not resolve or otherwise become involved in disputes between You and Your Employer.
g. In case of individuals onboarding independently:

i. Abhi may communicate with your Employer to ensure the accuracy of the information You provide to Abhi.
ii. Abhi may take support from your employer to recover any outstanding amounts payable.

8. Your undertakings

a. You undertake to abide by the Anti-Money Laundering, Combating Terrorist Financing Act/Regulations issued by the State Bank of Pakistan, SECP and as prescribed in the Law of Pakistan.
b. You undertake and agree not to use or permit the use of App for any illegal or improper purposes and shall comply with all applicable laws and regulations governing the transactions.
c. You shall be responsible for accuracy, completeness and authenticity of the funds transferred made through the App.
d. You undertake and confirm that compliance with theses T&C’s and provision of the Services shall be subject to the internal policies of Abhi, which may change from time to time, and the relevant circulars/ notifications of SECP.

9. Liability

a. The Customer holder accepts that Abhi is solely a service provider and accepts that Abhi will not be liable for any unauthorized transactions done via the App.
b. Abhi will be responsible for any digital fraud as a result of security lapse, operational issues, architecture of the App or any other malfunction of the App provided the same is not caused due to any factor beyond Abhi’s reasonable control or due to authorized usage of App by the Customer. Provided any claim shall not exceed the total value of transactions in Pakistani Rupees conducted by Customer in the last preceding month.
c. Customer shall be solely responsible and Abhi shall not be liable for any loss (direct, indirect or consequential) if access is gained to account through forgery, wiretap, theft or divulgence of password by Customer.
d. Abhi shall not liable or responsible for any transaction related issue(s) faced by You due to mobile network portability or incorrect information provided by You or Your Employer.

10. Abhi’s Rights

a. Abhi may block the account/suspend the service if any company and/or its authorized personnel are found to be involved in any suspicious activity or an activity in violation of the laws of Pakistan or have violated these T&C’s.
b. In case Abhi gets any information regarding the breach of its terms and conditions by the customer, Abhi reserves the right to discontinue Abhi Charge Card for Salary Service and block Abhi Charge Card for Salary with a written notice issued to the customer.
c. Abhi is authorized to make such disclosures in respect of the Account and transactions as may be required by any court order or competent authority or agency under the provisions or applicable laws and/or otherwise to safeguard the interests of Abhi.
d. In addition to ensuring compliance with guidelines, circulars and instructions of regulators, Abhi may, at its discretion, revise these T&Cs.

11. Abhi Undertakings

a. The Services provided to You will not infringe or violate any intellectual property rights or other right of any third party.
b. Abhi shall conduct all activities in a professional, ethical and orderly manner and shall ensure provision of quality services at all times with an objective to ensure that You have satisfactory App experience.
c. Abhi aims to ensure compliance with the guidelines, circulars and instructions issued by SECP and other regulatory authorities. For this purpose, Abhi may make changes to the App, T&Cs, privacy policy and related documents from time to time.
d. Abhi will provide You with a digital receipt for every repayment made on account of any EWA at the time of such repayment.
e. All transactions including disbursements and recovery will be carried out only through the bank accounts/branchless banking accounts of Abhi and disbursement shall be ensured to be made in the banking account/branchless banking account of the Customer.

12. Indemnity

a. The Customer agrees to fully indemnify and hold harmless Abhi, its representatives and employees, to the fullest extent of the law from any consequence arising as a result of using the App.
b. The customer indemnifies Abhi from any loss or damage accrued due to any breach of terms and conditions, negligence, or inaction by the customer, or due to any network disruption occurring at the cellular service provider end.

13. Unscheduled Downtime

During unscheduled maintenance a notice shall be placed on the App and an email/SMS shall be sent notifying Customer that there is an unscheduled outage and the expected duration.

14. Fee and Charges

a. A key fact statement including details of the amounts and service charges will be disclosed to You at the time of confirmation in Abhi App before disbursement of a EWA takes place.
b. You shall pay relevant fees for these services on time and in full according to the charging requirements published by Abhi. Charging standards and requirements shall be subject to the change as published and notified by us from time to time.
c. After receiving Abhi Charge Card for Salary Requests, Abhi shall have the right to deduct upfront relevant specified fees as per published SOC before executing relevant instructions.
d. Abhi can modify SOC for these Abhi Services by sending announcements or issuing notices on our website or other ways, and customers may choose whether to accept the modified SOC. If customers refuse to accept the modified SOC, they may give written notices to us to demand termination of all/part of Abhi Services pursuant to relevant procedures (if any) to us.

15. Grievance Redressal Mechanism

Abhi is committed to ensuring a high level of customer satisfaction. To address any concerns or issues, we have established a grievance redressal mechanism designed to handle and resolve complaints efficiently.

Our Grievance Redressal Process includes the following steps:

Complaint Registration: Customers can submit their complaints through the following channels:

When lodging a complaint, please provide the following details:

  • Your Name
  • Your Mobile Number
  • Your Email Address
  • A brief description of the issue/complaint

Acknowledgment: You will receive confirmation of your complaint submission.

Investigation & Resolution: We will investigate your complaint and make every effort to resolve it promptly. Please note that, occasionally, there may be delays due to the nature and complexity of the complaint.

Feedback: After the issue is resolved, you will be provided with relevant feedback or updates.

16. Collection of Information

In order to provide Services through the Mobile Application, information is stored by Us. The information is of three different categories each serves a different purpose:

a. Information You provide to Us directly, at the time of onboarding on Our Mobile Application, via in-App chat, by filling in forms or by corresponding with Us by post, phone, email or otherwise such as:

i. contact information that is necessary for the registration of an account on Our Mobile Application; and
ii. identity information, tax registration and employment details; 

b. Information that we collect automatically such as:

i. IP addresses, device type, unique device identification numbers, browser type, broad geographic location (e.g. country or city-level location), browsing patterns and details of how You have interacted with Our Mobile Application and the Services available on it. In addition, We gather statistical information about the Mobile Application and visitors to the Mobile Application including, browser software, operating system, software and hardware attributes, pages viewed, number of sessions and unique visitors. Collecting this information enables Us to better understand the visitors who come to Our Mobile Application, where they come from, and what content is of interest to them. We use this information for Our internal analytics purposes and to improve the quality and standard of Our Mobile Application. Some of this information may be collected using cookies and similar tracking technology;
ii. chat service, telephone or email, We may record a copy of Your correspondence and may ask for additional information to verify Your identity.

c. Information that We receive from Third Parties such as:
i. We may receive personal information about You from social media Mobile Applications if You
choose to register for a Mobile Application account via a social media account; and
ii. Any company We may engage for KYC and other regulatory required checks.

d. We may retain Your personal information as long as we have an ongoing legitimate business need to do so, for example, to provide Services to You, or as required or permitted by applicable laws, such as tax and accounting laws.

17. How and When We Use Information

Data collected by Abhi through the App or any other means will be subject to privacy of the Customer and shall only be used for the EWA processing or transactions related to the EWA. We also use the information for the following:

a. At the time of creating Your account on the Mobile Application to register You as a new contact.
b. At the time of availing Services, to facilitate those Services.
c. Customer Services, to provide user support.
d. Compliance and fraud prevention, to keep Our App, Our services and associated systems operational and secure, to keep Your data and identity secure.
e. Troubleshooting, to track issues that might be occurring on Our systems.
f. Optimization and analytics, to understand and measure how users use Our Mobile Application to improve it and report relevant aggregated management information.
g. Receiving promotional offers from Us as We may use your identity, contact, technical, behavioral, and profile data to form a view on what We think You may want or need, or what may be of interest to You.

Abhi will keep the data of the Customer strictly confidential, except in the following circumstances:

a. Disclosure of information with the specific written or recorded consent of the Customer;
b. Release or exchange of information with other financial institutions, credit bureaus and duly licensed lenders;
c. Disclosure of information upon court orders and other authorized body of law;
d. Disclosure to collection agencies, counsels and other agents of the Digital Lenders to enforce the latter’s rights against the Customer;
e. Disclosure to third party service providers solely for the purpose of assisting or rendering Services to Abhi in the administration of its lending business; and
f. Disclosure to third parties such as insurance companies, solely for the purpose of insuring Abhi from Customer   default or other credit loss, and the Customer from fraud or unauthorized charges.

18. How We Keep Your Personal Data Secure

We have put in place appropriate industrial standard technical and operational cybersecurity measures designed to prevent Your personal data from loss, misuse, alteration or destruction. In addition, we limit access to Your personal data to those employees, agents, contractors and other third parties who have a business need to know. They will only process Your personal data on our instructions and they are subject to a duty of confidentiality.

EARNED WAGE ACCESS BASED ABHI CARD

Through Earned Wage Access based Abhi Charge Card for Salary, instead of waiting for month-end to access their salaries, employees can get instant access to their earned but unpaid salary 24/7/365 by subscribing to Abhi Charge Card for Salary Service. This is an employer endorsed program. There is no cost to employers, however, employees must pay a flat transaction fee for early access to their salary.

The vision behind Earned Wage Access based Abhi Charge Card for Salary Service is to improve financial wellness, security and dignity of employees by offering financial technology solutions to those living paycheck to paycheck. As a result of improved financial wellness, employers reap the benefits of an engaged, productive and efficient workforce.

Abhi Charge Card for Salary is based on a Shariah Compliant charge card as per AAOIF standards on Charge card (AAOIFI Shariah Standard No: 2).

It could be used to withdraw (borrowing) cash without interest, and a limit of withdrawal (borrowing) will be based on Customer’s earned salary that would be accounted for Abhi as security against that withdrawal (borrowing) and agreed with the customer and employer to allow Abhi to collect customer’s (Employee’s) salary on his/ her behalf.

Since Abhi will be acting as an agent to collect the Salary on customer’s behalf, Abhi will charge an agency fee based on collecting different amounts as mentioned in slabs and agreed with the customer.

In short this product is based has three steps:
1. Interest free charge card to provide interest free credit.
2. Agency/service with a fee to collect the salary.
3. Settlement: Once Salary which was construed as security is collected by Abhi, the customer authorizes

Abhi to adjust or settle that amount against his /her borrowings from Abhi. For employees’ own benefit and to ensure post redemption/disbursement recoveries, assigning a limit of 100% based on earned salary may be discouraged and employees may be allowed to access up to 50% of earned but unpaid salary (net of tax) via subscribing Abhi Charge Card for Salary Service. Furthermore, early access to net salary can be granted during the 1st to the 30th of each month. Limit based on Earned salary which an employee can redeem through Earned Wage Access based Abhi Charge Card for Salary will be adjusted by the Employer at the time of salary disbursement.

Terms and conditions governing the use to Abhi Card Service by Abhi (Pvt.) Limited.

These terms and conditions are legally binding, so please read them through carefully before you accept and agree to the same. This agreement becomes effective between Customer and Abhi (Pvt.) Ltd (“Abhi Charge Card for Salary”) and its successors and permitted assignments, at the time of applying for Abhi Salary Charge Card Service.

Abhi Salary is a service that enables you to access your Earned Wage/salary by subscribing to an Abhi Salary Card through SMS short code or/and smartphone-based app.
These terms and conditions and any amendments thereto notified in the manner specified herein (the “Terms and Conditions”) set out the rights and obligations of the customer, and Abhi, in connection with your use of Abhi Salary Card service, and utilization of all the Abhi services through the channels permitted under the laws of Pakistan.

Applying for “Abhi Charge Card” for Salary:
1) Abhi Charge Card for Salary may be issued by in prescribed digital form and will be sent to customer’s
registered email address or Mobile number. Abhi shall be entitled at its sole discretion to accept or reject such requests that do not fulfill the requirements of Abhi’s policy.
2) The customer acknowledges and agrees that only one Abhi Charge Card for Salary Service will be
availed per CNIC, and other given details and limits shall be applicable as per Abhi Rules and policies.
3) Any person applying or availing Abhi Salary is deemed to have read, understood, and accepted these
terms and conditions.
4) Each Abhi Salary’s customer shall possess a distinctive number, and which shall be quoted in all
correspondence with Abhi for the purpose of availing the services.

Customer’s responsibility and Representation
5) The customer irrevocably and unconditionally undertakes to ensure the following: –
a. Is it recommended that the SIM of the mobile number provided by the Customer for use of Abhi
Charge Card for Salary Services, is registered in the name of the Customer.
b. To not leave his/her mobile phone unattended. Someone having access to the customer’s phone
may use it wrongfully.
c. The customer indemnifies Abhi from any loss or damage accrued due to any breach of terms and
conditions, negligence, or inaction by the customer, or due to any network disruption occurring
at the cellular service provider end.
d. The Abhi shall not be held responsible for any service issue(s) faced by the Customer due to
mobile network portability (MNP).
6) Customers shall pay relevant fees for these services on time and in full according to the charging
requirements published by us. Charging standards and requirements shall be subject to the change as
published and notified by us from time to time.
7) After receiving customer’s Abhi Charge Card for Salary Requests, Abhi shall have the right to deduct
relevant specified fees from customer as per published SOC before executing relevant
instructions.
8) Abhi can modify SOC for these Abhi Services by sending announcements or issuing notices on our
website or other ways, and customers may choose whether to accept the modified SOC. If customers
refuse to accept the modified SOC, they may give written notices to us to demand termination of
all/part of Abhi Services pursuant to relevant procedures (if any) to us.

Note: In case Abhi gets any information regarding the breach of its terms and conditions by the customer, Abhi shall have the right to discontinue Abhi Charge Card for Salary Service and block Abhi Charge Card for Salary with or without any further notice as per its discretion.

Two types of fee is charged against two different services:
1. Charge card subscription fee with features
2. Collection agency fee to collect the amount as per attached fee slab.
